Welcome to Solution Spot LLC ("Company", "we", "our", "us") and our PrevVal & Pace applications ("PrevVal", "Pace", "Apps", "Service"). These Terms of Service ("Terms") govern your use of our website, services, and applications, including any updates, new features, and associated documentation.

Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.

Software Provided "As-Is"

No Warranties or Guarantees

AS-IS SOFTWARE PROVISION

PrevVal and Pace are provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, either express or implied. This includes but is not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the Service will be error-free, secure, or uninterrupted
  • Warranties that defects will be corrected
  • Warranties of accuracy, reliability, or completeness of any data provided

WE DO NOT GUARANTEE that PrevVal or Pace will work perfectly in every environment, meet your specific requirements, or operate without bugs or errors.

Service Updates & Changes

Updates May Affect Functionality

UPDATES AND BREAKING CHANGES

We regularly update and improve our applications. You acknowledge and agree that:

  • Updates may temporarily cause service interruptions or downtime
  • Updates may introduce bugs or compatibility issues
  • Updates may change or remove existing functionality
  • Updates may require reconfiguration of your workflows
  • We will attempt to provide notice of significant updates but are not obligated to do so
  • Some updates may occur without prior notice, especially for critical security fixes

YOU ACCEPT THE RISK that updates may temporarily affect your workflows and that you may need to reconfigure or test the apps after updates.

Beta & Testing Features

Experimental Features Disclaimer

BETA SOFTWARE NOTICE

PrevVal and Pace may contain features designated as "beta," "preview," "experimental," or similar terms:

  • Beta features are provided for evaluation and testing purposes only
  • Beta features may not function as intended or documented
  • Beta features may contain errors, bugs, or cause data issues
  • Beta features may be modified, removed, or never released without notice
  • We make no commitments about beta feature performance or availability

Use beta features at your own risk. We recommend testing thoroughly before using in production environments.

License & Service Terms

Service Scope

Solution Spot LLC provides multiple services, each subject to these Terms:

Software Applications (PrevVal & Pace)

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

Install and use PrevVal & Pace with your HubSpot instance
Access and use the features included in your subscription plan
Allow your authorized users to access and use the Service

Professional Services (Consulting & Implementation)

Our HubSpot consulting, implementation, and development services are provided on a project or retainer basis:

HubSpot portal setup and configuration
Custom integrations and workflow development
Training, support, and ongoing maintenance
Custom software development and automation solutions

Service Agreements

Professional services may have additional terms outlined in:

  • Statement of Work (SOW) documents
  • Project proposals and contracts
  • Service Level Agreements (SLAs)
  • Retainer agreements

These Terms apply to all services unless specifically superseded by a signed written agreement.

Usage Limitations

Your use of our Services is subject to:

  • Daily request limits for app subscriptions as specified in your plan
  • Scope limitations defined in project agreements or SOWs
  • API rate limits and usage restrictions
  • HubSpot platform terms and conditions
  • Reasonable use policies for support and consulting services
Professional Services Terms

HubSpot Consulting & Implementation Services

Our professional services are provided "as-is" and are subject to the following terms:

Service Delivery

  • Services are performed based on project scope defined in SOWs or agreements
  • Timelines are estimates and may vary based on project complexity and client responsiveness
  • We require reasonable access to your HubSpot portal and necessary information
  • Client cooperation and timely feedback are essential for successful delivery
  • Change requests outside the original scope may incur additional fees

Client Responsibilities for Professional Services

  • Provide accurate information and requirements for your project
  • Grant appropriate access to HubSpot portals and related systems
  • Test and validate all implementations before going live
  • Maintain backups of critical data before major changes
  • Review and approve deliverables in a timely manner
  • Understand that custom solutions require ongoing maintenance

Professional Services Disclaimer

We are not liable for:

  • Business outcomes or results from implemented solutions
  • Issues arising from incomplete or inaccurate information provided by you
  • Problems caused by modifications made by you or third parties after delivery
  • Compatibility issues with third-party tools or future HubSpot updates
  • Data loss resulting from your failure to maintain proper backups
  • Delays caused by lack of client responsiveness or access

All professional services are provided "as-is" without guarantees of specific business results. We provide expert implementation and best practices, but ultimate success depends on many factors outside our control.

Professional Services Payment Terms

Billing & Payment for Consulting Services

Hourly Services

Billed based on actual time spent. Invoiced monthly or upon project milestones as agreed.

Fixed-Price Projects

Payment schedule defined in SOW. Typically includes deposit and milestone payments.

Retainer Services

Monthly recurring fee for ongoing support and maintenance. Billed in advance.

Payment Requirements

  • Invoices are due within 15 days of receipt unless otherwise agreed
  • Late payments may incur interest charges and suspension of services
  • Deposits are typically required before project commencement
  • Refunds for professional services are handled case-by-case
  • All fees are exclusive of applicable taxes
App Subscription & Payment

Payment Terms for PrevVal & Pace

Access to PrevVal & Pace requires an active subscription (free or paid). The following terms apply:

Non-Refundable

Unless required by law

Price Changes

30 days notice

Cancellation

End of billing period

User Responsibility for Configuration

Critical: Your Configuration Responsibilities

YOU ARE SOLELY RESPONSIBLE FOR:

  • Proper installation and configuration of PrevVal and Pace in your HubSpot environment
  • Testing the apps thoroughly in your specific use case before production use
  • Verifying accuracy of tracked property values and pace timing
  • Ensuring pace settings meet your workflow and rate limit requirements
  • Backing up critical data before implementing or updating the apps
  • Monitoring app performance and identifying issues in your environment
  • Any decisions made based on data or functionality provided by our apps
  • Compliance with HubSpot's terms of service and API usage limits

WE ARE NOT LIABLE FOR:

Solution Spot LLC is NOT liable for any damages, data loss, business interruption, or other issues resulting from:

  • Improper installation, setup, or configuration of PrevVal or Pace
  • Incorrect property tracking or pace timing due to misconfiguration
  • Incorrect workflow design or HubSpot integration
  • Misuse of previous value data or pacing features
  • Decisions made based on improperly configured implementations
  • Failure to test apps before production use
  • Conflicts with other HubSpot apps or customizations
  • Rate limiting or API issues with external services

We provide documentation and support, but CANNOT guarantee the apps will work perfectly in every HubSpot configuration or use case. You must verify functionality for your specific needs.

User Responsibilities

As a user of our Service, you agree to:

Maintain accurate account information
Use the Service in compliance with laws
Protect your account credentials
Report unauthorized access immediately
Ensure proper HubSpot configuration
Service Limitations

Availability & Limitations

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control.

Data Processing

PrevVal processes HubSpot property values but only stores metadata and counts. We do not guarantee real-time processing or immediate updates of previous values.

Intellectual Property Rights

Our Intellectual Property

The Service, including all associated intellectual property rights, belongs to Solution Spot LLC. This includes:

PrevVal & Pace functionality

Documentation

Training materials

Branding

Trademarks & logos

Website Content

Content & design

Termination

Service Termination

We may terminate or suspend your access to the Service:

For breach of these Terms
For violation of usage limits
For non-payment of fees
At our discretion with reasonable notice
Limitation of Liability

Liability Limitations

IMPORTANT LIMITATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOLUTION SPOT LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

This includes, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the Service.

We are specifically not liable for any damages resulting from improper setup, misconfiguration, or incorrect use of the PrevVal or Pace apps or any other services provided.

Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Solution Spot LLC, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of PrevVal, Pace, or any other Service we provide
  • Your violation of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any decisions, actions, or business operations based on data or functionality from our Service
  • Any misconfiguration or improper setup of our apps in your environment
  • Any data loss, corruption, or business interruption related to our Service
Changes to Terms

Terms Updates

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

Posting the updated Terms on our website
Updating the "Last Updated" date
Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
